1. Agreement to Terms

3. Project Terms and Conditions

3.1 Project Scope

All project work will be defined in a separate Statement of Work (SOW) or project agreement that outlines specific deliverables, timelines, and costs. The SOW will form part of these Terms of Service.

3.2 Payment Terms

Payment terms will be specified in the project agreement. Generally:

  • A deposit is required before work commences
  • Milestone payments may be required for larger projects
  • Final payment is due upon project completion
  • Late payments may incur additional charges

3.3 Client Responsibilities

Clients are responsible for:

  • Providing timely feedback and approvals
  • Supplying necessary content and materials
  • Obtaining necessary licenses and permissions
  • Making payments according to the agreed schedule

4. Intellectual Property Rights

4.1 Client Ownership

Upon full payment, clients will own the source code and deliverables specifically created for their project, subject to any third-party components or licenses.

4.2 Third-Party Components

Applications may include third-party libraries, frameworks, or components that remain subject to their respective licenses.

4.3 Sparkling Dell Rights

Sparkling Dell retains the right to:

  • Use general knowledge and experience gained from projects
  • Reference completed projects in our portfolio (with client permission)
  • Utilize development methodologies and practices

5. Warranties and Limitations

5.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care. Any warranty period will be specified in the project agreement.

5.2 Limitation of Liability

In no event shall Sparkling Dell be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid for the specific service in question.

6. App Store Submissions

While we assist with app store submissions, we cannot guarantee approval by Apple App Store, Google Play Store, or other platforms. App store guidelines and policies are subject to change and are beyond our control.

7. Confidentiality

We respect the confidentiality of client information and will not disclose confidential information to third parties without consent, except as required by law or necessary to perform our services.

8. Project Changes and Cancellation

8.1 Changes to Scope

Changes to the agreed project scope may result in additional costs and timeline adjustments. All changes must be agreed upon in writing.

8.2 Cancellation

Either party may terminate the agreement with written notice. In case of cancellation, payment will be due for work completed up to the termination date.

9. Support and Maintenance

Post-launch support and maintenance services are available separately and will be governed by a separate support agreement outlining response times, covered issues, and costs.

10. Dispute Resolution

Any disputes arising from these terms or our services will be resolved through good faith negotiation. If necessary, disputes will be subject to the jurisdiction of the courts of England and Wales.

11. Force Majeure

Neither party will be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, or pandemics.

12. Governing Law

These terms are governed by the laws of England and Wales. Any legal proceedings will be conducted in the appropriate courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
